Vendor Content & Compliance Agreement
This Vendor Content & Compliance Agreement applies to all vendors selling on the Admin Boardroom marketplace, which is owned and operated by Admin Boardroom LLC
1. Original Work and Rights
By creating a vendor account and uploading content, you represent and warrant that:
- You are the creator and owner of the content you upload or you hold all necessary rights and licenses to sell the content commercially.
- Your content does not infringe upon the intellectual property rights of any third party, including copyrights, trademarks, or trade secrets.
2. District, School, and Employer Materials
Vendors may not upload, sell, or distribute content that includes:
- School district names, logos, seals, mascots, letterhead, or branded templates
- Internal or proprietary district materials
- Documents created as part of your employment that are not expressly permitted for commercial resale
Content must be sufficiently modified and original so that it cannot reasonably be identified as district-owned or employer-created.
3. No Affiliation or Endorsement
You may not state or imply that your products are endorsed by, affiliated with, or created on behalf of any school district, public agency, or employer.
All products must be presented as independently created resources.
4. Vendor Responsibility
You are solely responsible for the content you upload and sell. The marketplace does not review or approve content prior to publication.
By participating as a vendor, you agree to assume responsibility for any claims, disputes, or issues related to your content.
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to:
- Loss of profits
- Loss of data
- Loss of business opportunities
Our total liability shall not exceed the total amount paid by the user to the platform in the thirty (30) days preceding the claim.
5. Content Review and Removal
The marketplace reserves the right to:
- Review vendor content for policy compliance
- Remove or disable access to any content at its discretion
- Suspend or terminate vendor accounts for policy violations
Repeated or serious violations may result in permanent removal from the marketplace.
6. Subscription and Enforcement
Vendor subscriptions grant access to sell on the platform. Subscriptions may be terminated without refund if a vendor violates marketplace policies. Vendors agree that the platform retains a 15% commission on all gross sales plus a flat fee of $0.50 per transaction will be deducted to help cover payment processing costs. The platform absorbs the remaining Stripe processing fees on your behalf. All fees are automatically deducted at the time of sale, with the remaining balance paid out to the vendor. Commissions are automatically deducted at the time of each transaction. Subscription fees are non-refundable and do not offset commission amounts unless explicitly stated.
7. Agreement
By completing your vendor subscription purchase, you acknowledge that you have read, understand, and agree to comply with this Vendor Content & Compliance Agreement.
We reserve the right, at our sole discretion, to suspend, modify, or discontinue the platform, in whole or in part, at any time.
We will make reasonable efforts to provide advance notice in the event of a full platform shutdown. We are not liable for any losses, damages, or interruption of business resulting from such termination.
We do not guarantee uninterrupted or error-free operation of the platform. The website may experience downtime due to maintenance, updates, or technical issues at any time.
